Terms of Service
The terms governing use of Norwon's website, platform and services.
Effective date: October 19, 2026 · Governed by the laws of Ontario and Canada
These terms govern your use of our website, software platform and field services. They are written for business use. You're responsible for your account, your data and having the right to collect information about your own customers. Our AI reads and energy audits are assistive and we don't guarantee rebate eligibility. Liability is limited, the services are provided "as is", and Ontario law governs. A separate signed agreement, if any, prevails over these terms.

1. Introduction and acceptance
These Terms of Service ("Terms") are a legal agreement between you and Norwon Inc. ("Norwon", "we", "us") and govern your access to and use of the Norwon website, software platform, and related professional, implementation and managed field services (together, the "Services"). By accessing the website or using the Services, you agree to these Terms. If you do not agree, do not use the Services.
If a separate written agreement (for example, a master services agreement, order form or statement of work) has been signed between you and Norwon, that agreement governs and prevails over these Terms to the extent of any conflict.
2. Definitions
"Customer Data" means data, content, forms, branding and information that you or your authorized users submit to, or that is collected through, the Services, including information about your own customers and contacts. "Authorized Users" means your personnel and field specialists you permit to use the Services. "Third-Party Services" means products or services not provided by Norwon that integrate with or are used alongside the Services.
3. Eligibility and authority
The Services are intended for business and professional use by organizations and their personnel, not for personal or household use. By using the Services on behalf of an organization, you represent that you are at least the age of majority in your province and have authority to bind that organization to these Terms.
4. The Services
Norwon provides a software platform for scheduling, dispatch, on-site capture, reporting and electronic signature, and offers related professional and managed field services, including energy audits delivered as a managed service. We may update, add or discontinue features over time. Some features may be offered on a trial, beta or pre-release basis and are provided "as is" without warranty and may be changed or withdrawn at any time.
5. Accounts and security
You are responsible for configuring your account, for the acts and omissions of your Authorized Users, and for keeping credentials confidential. You must notify us promptly of any unauthorized access or suspected security incident. We may suspend access where necessary to protect the Services or other customers.
6. Customer Data and your responsibilities
As between you and Norwon, you own your Customer Data. You grant Norwon a non-exclusive licence to host, process, transmit and display Customer Data as needed to provide and support the Services, and to improve them in aggregated and de-identified form. You are responsible for the accuracy of Customer Data and for ensuring you have the legal authority and any required consents to collect, use and disclose personal information about your own customers and contacts through the Services. You are the organization primarily accountable to those individuals under applicable privacy law; Norwon acts as your service provider for that information and handles it as described in our Privacy Policy and any applicable data processing terms.
7. Acceptable use
You agree not to: use the Services unlawfully or in violation of third-party rights; upload malicious code or attempt to gain unauthorized access to the Services or other customers' data; interfere with or disrupt the Services; reverse engineer, copy or create derivative works except as permitted by law; resell or provide the Services to third parties except as agreed; or use the Services to send unlawful communications or to collect personal information without a lawful basis. We may investigate and take appropriate action, including suspension or termination, for violations.
8. Customer-facing communications
The Services allow you to send branded communications (such as booking confirmations, reminders and arrival notifications by email and SMS) to your customers under your own sender identity. You are the sender of those communications and are responsible for complying with applicable laws, including CASL and telecommunications rules, and for obtaining and maintaining any required consents. Norwon provides the tools; it is not the sender of your customer-facing messages.
9. Third-Party Services and integrations
The Services may integrate with Third-Party Services (for example, CRM, e-signature, email, SMS, mapping and design tools). Your use of a Third-Party Service is governed by that provider's terms and privacy practices, and Norwon is not responsible for Third-Party Services, their availability or their acts or omissions. Enabling an integration authorizes the exchange of data between the Services and that provider as you direct.
10. AI and automated features
Certain features use automated analysis (for example, of photographs) to produce a structured summary and a confidence level. These outputs are assistive, may contain errors or omissions, and are not a substitute for inspection, measurement, or professional judgment. You are responsible for reviewing and verifying outputs before relying on them, and a qualified human should make the final determination. Norwon makes no warranty as to the accuracy, completeness or fitness of automated outputs.
11. Field services and energy audits
Where Norwon provides field services or energy audits, the applicable scope, deliverables and fees are set out in an order form or statement of work. Unless expressly stated in writing, an assessment or report is informational and does not constitute an engineering certification, professional opinion, legal or financial advice, or a guarantee of any outcome. Rebate and incentive programs are administered by third parties (federal, provincial, territorial or utility programs); their eligibility criteria, amounts and availability change frequently and are outside our control. Norwon does not guarantee that any assessment will qualify for, or result in, any rebate, incentive or amount, and you are responsible for confirming current program requirements with the relevant authority.
12. Fees, invoicing and taxes
Fees for the Services are set out in your order form, statement of work or quote. Unless otherwise stated, fees are in Canadian dollars, exclusive of applicable taxes (such as GST/HST/QST), and payable as invoiced. Late amounts may bear interest at the rate stated in your agreement or as permitted by law. Except as required by law or expressly agreed, fees are non-refundable.
13. Intellectual property
Norwon and its licensors own all rights in the Services, including the platform, software, documentation and Norwon's trademarks and content. We grant you a limited, non-exclusive, non-transferable right to use the Services during your subscription or engagement, subject to these Terms. You retain all rights in your Customer Data and brand assets. If you provide feedback or suggestions, you grant Norwon a perpetual, royalty-free licence to use them to improve the Services. All rights not expressly granted are reserved.
14. Confidentiality
Each party may receive confidential information of the other. The receiving party will protect it with reasonable care, use it only to perform under these Terms, and disclose it only to personnel and advisors who need it and are bound by confidentiality. These obligations do not apply to information that is public through no fault of the receiving party, independently developed, or required to be disclosed by law (with notice where permitted).
15. Privacy and data protection
Our handling of personal information is described in our Privacy Policy, which is incorporated into these Terms. Where Norwon processes personal information on your behalf as a service provider, that processing is also subject to any data processing terms agreed between us. Each party will comply with applicable Canadian privacy laws in connection with the Services.
16. Warranties and disclaimers
Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available", and Norwon disclaims all warranties, conditions and representations of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, durability, title and non-infringement, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free or secure, or that outputs will be accurate or achieve any particular result. Some jurisdictions do not allow the exclusion of certain warranties; in that case, the excluded warranties apply only to the extent required by law.
17. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profits, revenue, data, goodwill or business, arising out of or relating to the Services, even if advised of the possibility. To the maximum extent permitted by law, Norwon's total aggregate liability arising out of or relating to the Services will not exceed the amounts you paid to Norwon for the Services in the twelve (12) months before the event giving rise to the claim. These limitations do not apply to liability that cannot be excluded or limited under applicable law.
18. Indemnification
You will defend, indemnify and hold harmless Norwon and its personnel from third-party claims, damages and reasonable costs arising from your Customer Data, your use of the Services in breach of these Terms or applicable law, or your failure to obtain required consents or rights with respect to personal information you process through the Services, except to the extent caused by Norwon's own breach.
19. Suspension and termination
Either party may terminate as set out in the applicable agreement, or, absent a separate agreement, on reasonable notice. We may suspend or terminate access immediately for material breach, non-payment, or where necessary to protect the Services, other customers or any person. On termination, your right to use the Services ends; on request made within a reasonable period, we will make Customer Data available for export, after which we may delete it, subject to legal retention requirements. Terms that by their nature should survive (including Sections 6, 11, 13–18 and 20–23) survive termination.
20. Changes to the Services and to these Terms
We may modify the Services and update these Terms from time to time. We will post the updated Terms with a new effective date and, where changes are material, take reasonable steps to notify you. Your continued use of the Services after an update constitutes acceptance of the revised Terms. If you do not agree to a change, your remedy is to stop using the Services.
21. Force majeure
Neither party is liable for any delay or failure to perform (other than payment obligations) caused by events beyond its reasonable control, including acts of God, severe weather, failures of telecommunications or internet providers, power outages, labour disruptions, and governmental actions.
22. Governing law and dispute resolution
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws rules. Subject to any separate agreement, the courts located in Ontario have exclusive jurisdiction over disputes arising out of or relating to these Terms, and each party submits to that jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
23. Language
We offer these Terms in English and French. The parties confirm their express wish that these Terms and all related documents be drawn up in the language in which they are presented to you. In the event of any inconsistency between versions, and to the extent permitted by applicable law, the English version prevails, except where the law of your province requires otherwise.
24. General
These Terms, together with any order form, statement of work or signed agreement and our Privacy Policy, are the entire agreement between the parties regarding the Services. You may not assign these Terms without our consent; we may assign them to an affiliate or in connection with a merger, acquisition or sale of assets. If any provision is held unenforceable, it will be modified to the minimum extent necessary and the remainder will remain in effect. Our failure to enforce a provision is not a waiver. Notices to Norwon may be sent to the contact below; notices to you may be sent to the contact details associated with your account. Nothing in these Terms creates a partnership, agency or employment relationship. You consent to transacting electronically and to the use of electronic signatures and records, which have the same effect as handwritten signatures and paper records under applicable electronic-commerce and e-signature laws.
